Terms

1. Scope

These terms apply to services provided by MVMNTS UG (haftungsbeschränkt), Landsbergstr. 15, 50678 Cologne, to business customers, unless a separate offer, contract or statement of work states otherwise. Consumer services are provided only where expressly agreed.

2. Services

• Revenue audits and strategy workshops
• Positioning, offer and funnel strategy
• Websites, landing pages and web-app-like implementations
• Sales media libraries, video formats, interviews and content systems
• LinkedIn/sales sprints, growth support, web analytics and reporting

The specific scope, timeline, cooperation duties, rights of use and fees are defined in the relevant offer, contract, statement of work or written order confirmation.

Legal, tax or financial advice is not part of the service unless expressly agreed.

3. Contract formation

Website content and inquiry forms are not binding offers. A contract is formed only when an offer by MVMNTS is accepted or an order is confirmed in writing. Strategy calls, initial consultations and audits may be used for qualification; project availability is confirmed only after order acceptance.

4. Customer cooperation

The customer provides required information, access, approvals, contacts, content and feedback in due time. The customer ensures that provided materials, marks, data, images, videos, music, texts and accesses may be used lawfully. Delays caused by missing cooperation may shift timelines and milestones.

5. Fees and payment

Prices are net plus statutory VAT unless stated otherwise. Payment terms, retainers, installments or milestone payments are defined in the offer. In case of payment default, MVMNTS may pause services until open amounts are settled. Third-party costs such as media budget, hosting, licenses, stock material, tools, travel or platform fees are included only if listed in the offer.

6. Acceptance and revisions

Work results are provided for review. Revision rounds follow the offer. Change requests beyond the agreed scope may be quoted separately. If the customer does not provide justified defect notices within an agreed or reasonable review period, MVMNTS may treat the service as accepted where legally permissible.

7. Rights of use

After full payment, the customer receives the rights of use agreed in the offer for final approved work results. Drafts, raw data, working files, concepts and internal methods remain with MVMNTS unless expressly agreed otherwise. Open-source components, third-party assets, AI tools or platform features may be subject to their own license and usage terms.

Third-party platforms may be used for hosting, analytics, form processing, email, CRM, scheduling, content production or deployment. Their availability, product changes, prices and terms are outside MVMNTS control unless MVMNTS operates the respective platform itself.

8. References and confidentiality

Customer names, logos or concrete project details are used publicly only after approval or contractual agreement. Without approval, MVMNTS may use anonymized methods, learnings or structural examples where no confidential information can be inferred.

9. Data protection and platform access

Where personal data is processed on behalf of the customer, the parties enter into a data processing agreement if required. The customer remains responsible for the lawfulness, consents and content of its own data sources, audiences, CRM lists and platform access.

Website and funnel measurement is used to improve trust, demand and inquiry quality. The customer ensures that tracking, consent and information duties for its own campaigns, audiences and connected tools are fulfilled unless expressly taken over by MVMNTS.

10. Success and liability

MVMNTS owes the agreed services, not a specific commercial result unless expressly guaranteed. Liability is governed by statutory law; for simple negligence, liability is limited to breach of material contractual duties and foreseeable typical damages.

11. Final provisions

German law applies. Place of jurisdiction, where legally permissible, is Cologne.
